1. Introduction

These Terms and Conditions (“Terms”) govern the use of payment processing, merchant onboarding, and related financial technology services (“Services”) provided by Tap2Pay Global LLC (“Tap2Pay”). By using our Services, you agree to these Terms.

2. Services Provided

Tap2Pay Global LLC provides payment gateway, merchant acquiring, risk management, and transaction settlement solutions for approved Clients in accordance with U.S. laws and card network rules.

3. Client Obligations

Clients must provide accurate business information, comply with all KYC/AML and OFAC requirements, and notify Tap2Pay of any operational changes.

4. Fees, Settlements, and Reserves

Fees, settlement schedules, and reserve requirements are defined in your Merchant Service Agreement. Tap2Pay may withhold settlements for suspected fraud or compliance issues.

5. Chargebacks and Liability

Clients are responsible for chargebacks and may have such amounts deducted from future settlements or reserves.

6. Compliance and Security

Tap2Pay complies with PCI DSS standards. Clients must also maintain PCI compliance and secure payment data.

7. Prohibited Uses

Clients may not process transactions for illegal, high-risk, or prohibited activities such as unlicensed gambling or counterfeit goods.

8. Term and Termination

Either party may terminate this Agreement with 30 days’ notice. Tap2Pay may terminate immediately for compliance or risk reasons.

9. Limitation of Liability

Tap2Pay is not liable for indirect, incidental, or consequential damages. Total liability is limited to fees paid in the prior three months.

10. Confidentiality

Both parties agree to maintain confidentiality of proprietary information.

11. Data Protection

Tap2Pay complies with the Florida Information Protection Act (FIPA) and applicable federal privacy regulations.

12. Indemnification

The Client shall indemnify and hold Tap2Pay harmless against any losses arising from misuse or breach of these Terms.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of Florida. Disputes shall be resolved in the courts of Miami-Dade County.

14. Amendments

Tap2Pay may modify these Terms with 30 days’ notice. Continued use of the Services constitutes acceptance of the updated Terms.

By signing or using Tap2Pay’s Services, the Client acknowledges and accepts these Terms and Conditions.
